Summary: Under the supervision of the VP & Associate General Counsel and other Legal Department personnel, Corporate Securities Counsel will provide timely written and oral legal advice to Acushnet Company and global subsidiary personnel over a wide range of topics, including securities matters, corporate governance functions, contracts and other matters.
The Corporate Securities Counsel will play a vital role in ensuring Acushnet Company’s compliance with federal and state securities laws and regulations.
The Corporate Securities Counsel will also (i) prepare, review and negotiate various contracts, (ii) perform various analyses informed through research and, as appropriate, consultation with outside counsel; (iii) identify and analyze potential risks; and (iv) participate in the development and implementation of practical responses to issues presented.
Responsibilities: Assist in preparation and filing of required securities documents, such as Form 10-K, Form 10-Q, Form 8-K, proxy statements, Forms 3 & 4, Form 144 and Form SD, ensuring compliance with SEC regulations and timely submissions.
Collaborate with internal stakeholders to ensure accurate and timely disclosure of material information.
Monitor changes in securities laws and regulations and provide recommendations on their impact on the Company.
Implement compliance programs and policies to address any new requirements.
Prepare, review, negotiate, and advise the Company on a broad range of contractual matters, including business operational and structural contracts, real estate transactions and licensing agreements.
Assist with managing relationships with shareholders and providing support for Board of Director, Committee and annual stockholder meetings Participate in the process of corporate reorganizations, potential acquisitions/divestitures and subsidiary formations, and other corporate legal organizational and structural matters.
Assist with a variety of corporate legal issues, transactions, projects and initiatives as needed.
Requirements: Strong academic credentials, including a Juris Doctorate degree from an ABA accredited law school.
Bar admission in at least one state required.
Three to six years securities/corporate governance legal experience with a recognized law firm and/or in an in-house legal department.
Strong understanding of federal and state securities laws, SEC regulations and corporate governance principles.
Some domestic and/or international travel required.
Sitting for extended periods required.
Significant experience drafting, reviewing and filing securities documents such as Form 10-K, Form 10-Q, Form 8-K, proxy statements, Forms 3 & 4, Form 144 and Form SD.
Excellent knowledge of SEC, NYSE and/or NASDAQ rules, regulations and reporting portals.
Experience preferred with DTCC rules, transfer agents, Intelligize benchmarking software and the Wdesk filing platform.
Significant experience drafting, reviewing and negotiating a broad range of corporate and commercial agreements, including, but not limited to services, software licensing, consulting and collaboration agreements.
Ability to work independently while contributing successfully to cross-functional teams.
Excellent interpersonal skills, with the ability to be a solutions-oriented and a collaborative team player.
Excellent organizational skills, ability to prioritize and manage multiple projects and tasks simultaneously, while also managing critical deadlines.
Strong written and oral communication skills, including the ability to communicate effectively with internal and external partners.
Strong research, analytical and advisory skills, including the ability to review, evaluate and counsel internal clients on complex and routine legal and corporate matters.
Sound legal and business judgment with the ability to identify and escalate issues when needed.
Positive, self-motivated individual with high level of enthusiasm and willingness to learn and incorporate coaching and instructions into daily tasks and assignments.
Enthusiasm for the sport of golf and the industry is a plus.
